American Game Bantam Club By-Laws
Article 1 - President
The President shall preside at all meetings and perform the duties of Chief Executive Officer. He/She shall execute all other duties imposed upon him/her at the time of his/her election. He/She will act as Chairman of the Board, will refer all matters to the Board of Directors for their consideration when requested by the Secretary/Treasurer and will promptly report their decisions to the Secretary/Treasurer. He/She shall see that the Constitution and By-Laws are rigidly executed by everyone concerned and that all officers of this organization properly discharge their duties. He/She may call a special meeting whenever he/she deems it necessary, or at the request of at least four (4) members of the Board of Directors.
Article 2 - Vice-President
The Vice-President will act as presiding and executive officer in the absence of the President, assuming all other duties of that office during the time it should be vacated. The normal duties of the Vice-President will be to work closely with the Secretary/Treasurer, and they, through the membership as a whole, will work to secure as many new members as possible. He/She shall also execute any other duties imposed upon him/her at the time of his/her election.
Article 3 - Secretary/Treasurer
The Secretary/Treasurer shall conduct all correspondence and act as managing director of this organization. He/She shall keep the minutes of all meetings and have charge of the books and papers pertaining to his/her office. He/She shall collect and receive all monies due this organization, to pay all bills undertaken by it and keep a correct account of all transactions in the books provided for that purpose. He/She shall be prepared to make a report at each general meeting of all his/her receipts and disbursements with a statement as to the amount of cash on hand at that time. He/She shall be the custodian of all of this organization’s records pertaining to American Game Bantams. He/She shall send a copy of the Constitution and By-Laws to all new members upon their joining. His/Her books and papers shall be open at all times for inspection by the Board of Directors. He/She shall surrender all files, monies and other property of this organization to the Board of Directors at the expiration of his/her term of office.
Article 4 - Election Commissioner
The Election Commissioner will receive all election and other mail ballots from the membership direct, tally them and forward the results, along with the ballots, promptly to the Secretary/Treasurer of this organization.
Article 5 - Election of Officers
Officers shall be elected every two (2) years, in even numbered years, by means of a mail ballot sent directly to each member of this organization who is in good standing at the time. The ballots will contain the list of candidates for various offices. The Secretary/Treasurer will mail such ballots around the first of October of election year. All ballots should be marked and returned within fifteen (15) days after receipt. Members voting will return their ballots directly to the Election Commissioner. The election should be completed and the new officers declared before the usual Annual Meeting and the National Meet of this organization.
Article 6 - Club Meetings
This organization’s Annual Meeting should be held in conjunction with the National Meet. Special meetings and meetings of the Board of Directors may be conducted by mail, telephone, internet/e-mail or in person and held when needed and convenient with at least a quorum in participation.
Article 7 - Club Meets
Section 1 - National Meet
This organization may hold a National Meet each year, same to be held in rotation among this organization’s Districts and/or sections. Should a district or section be unable to hold the National Meet in it's allotted turn, the Meet will pass on to the next area in rotation.
Section 2 - District and State Meets
All districts should make a special effort to hold an annual District Meet. The Meet will be under the supervision of the District Director and his State Representative. Whenever possible, at least one (1) annual State Meet should be held for all states in each district. Such meets would be under the supervision of the State Representatives, aided by their District Director.
Section 3 - All of this organization’s Meets will be subject to the approval of this organization’s Secretary/Treasurer.
Article 8 - Classification
This organization recognizes all standard colors of the breed and urges classification for each color at every show.
Article 9 - Affiliation
The American Game Bantam Club may be affiliated with The American Poultry Association and/or The American Bantam Association and will work with the Associations for the advancement of American Game Bantams and the bantam fancy as a whole.
Article 10 - Performance of Officers
In order that this organization may move forward in a manner that behooves the full breed this organization represents, it will be imperative that each officer functions to the best of his/her ability. This organization will not tolerate any neglect of duty on the part of any officer. Each position is clearly outlined in this Constitution and By-Laws so that each candidate for office will know what his/her duties will consist of before accepting the nomination. Once elected to the office he/she will be expected to carry out his/her part of the work without delay. Any officer, regardless of position, that neglects the duties of his/her office without good and lawful reason, will be removed immediately.
Article 11 - Interpretation
A majority vote of the Board of Directors will decide the outcome in all cases of dispute arising out of the interpretation and meaning of this Constitution and By-Laws, and on any other matters not covered under the same.
Article 12 - Amendments
Any proposal to amend or alter this Constitution and By-Laws shall be submitted in writing to the Secretary/Treasurer of this organization. He/She will in turn determine the pleasure of the Board of Directors who will decide by a majority vote, whether or not to place the matter before the membership for a vote. In the event of a favorable vote by the Board of Directors, the Secretary/Treasurer will put the matter to a vote of the membership by a mail ballot. A majority vote of the members voting will be required for the adoption of an amendment or alteration to this Constitution and By-Laws. The amendment favorably enacted will be made effective immediately and will go out in a supplement to this Constitution and By-Laws to every member.
Article 13 – Prohibitions
No officer, employee, or member of this organization, nor any committee, subcommittee or part thereof, shall under claim of authority from this organization, attempt to use its name, or credit or make any statement, written or oral, for publication or otherwise, for any personal gain, or for any other reason of a fraudulent nature. Persons found guilty of any such acts as described above will be dealt with according to the decision of the Board of Directors. Their decision could result in a reprimand, suspension or expulsion from membership in this organization, or prosecution according to law depending upon the extent of guilt.
